--to assist clients in establishing real estate development companies, including designing equity structure, drafting and reviewing incorporation documents such as joint venture (cooperation) contracts and articles of association, and handling registration procedures;
--to assist clients in applying for real estate development qualification and license;
--to assist clients in obtaining land-use-right of state-owned land, to review land-use-right assignment contract and apply for land-use certificate on behalf of developers;
--to assist clients in project financing, design financing structure, to prepare and review loan agreements, and participate in negotiations;
--to assist clients in project management, prepare and review project bidding documents and contracts for project design, construction, supervision and material purchase, participate in bid organization and contract negotiation and monitor implementation of contracts;
--to assist clients in obtaining project development franchise, and to prepare and review project proposals and feasibility reports;
--to assist clients in acquiring or transferring projects, participate in transaction structuring, evaluate legal risks of different schemes, prepare and review project acquisition/transfer agreement, participate in negotiations and monitor agreement performance on behalf of developers;
--to assist clients in preparing sale (lease) documents, to prepare and review Commercial Property Subscription Agreements, Property Sale Contracts, Sale Agency Agreement and Lease Agreement;
--to assist buyers (lessees) in ascertaining legality of real estate projects, preparing legal opinions; drafting and reviewing sale contracts, supplementary agreements and tenancy agreements, participating in negotiations and applying for Certificate of Property Ownership and Certificate of Land Use Right of State-owned land;
--to answer inquires of clients and give legal advice and legal opinions.
